If the underwriters exercise their over-allotment option, we expect to use a portion of the net proceeds from the sale of the additional Notes to enter into an additional capped call transaction with the capped call counterparty.|
|The capped call transactions will cover, subject to customary adjustments, the number of shares of our common stock that will initially underlie the Notes.|
|The capped call transactions are generally expected to reduce the potential dilution to our common stock and/or offset any cash payments we are required to make in excess of the principal amount of converted Notes, as the case may be, as a result of any conversion of the Notes, with such reduction and/or offset subject to a cap as described in Description of Capped Call Transactions in the Preliminary Prospectus Supplement.|
|For a discussion of the potential impact of any market making or other activity by the capped call counterparty or its affiliates in connection with these capped call transactions, see UnderwritingCapped Call Transactions and Risk FactorsRisks Related to the Notes and This OfferingThe capped call transactions may affect the value of the Notes and our common stock in the Preliminary Prospectus Supplement.|
